Terms of trading
Note: this page summarises our standard terms for transparency. The binding terms for any transaction are those in the signed contract for that transaction. This summary is subject to review by the company's legal advisers before launch — see LAUNCH_CHECKLIST.
Contracts and specifications
Every trade is made under a written contract stating product or grade, specification and tolerances, quantity, price or price formula, Incoterms 2020 delivery term, payment terms and documentation to be supplied. Specifications agreed in the contract override any description elsewhere, including this website.
Quality and claims
Goods are sold against the contracted specification. Claims must be notified promptly after discovery and, for visible condition, within the period stated in the contract, supported by photographs and, where relevant, retained-sample analysis. We keep sealed retained samples and photographic loading records precisely so that claims can be settled on evidence.
Waste shipments
Shipments of waste are performed under the applicable waste shipment law, with Annex VII documentation, contracts containing recovery and take-back obligations, and consignees whose licences we verify. Suppliers warrant that material matches the agreed acceptance specification; consignees warrant licence and quota validity for the contracted material.
Payment and title
Standard structures are balanced T/T against documents; letters of credit are available for first trades. Title passes as stated in the contract; risk passes per the agreed Incoterm. Late payment attracts statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Liability
Neither party is liable for indirect or consequential loss. Aggregate liability per transaction is capped at the contract value of the goods concerned, except where liability cannot lawfully be limited.
Law and disputes
Contracts are governed by the law of England and Wales, with disputes subject to the jurisdiction of the English courts or, where agreed, LCIA arbitration in London.

We are committed to preventing modern slavery and human trafficking in our business and supply chains. Our supplier and consignee verification includes site visits by our own team; we do not trade with parties who refuse transparency about their operations.
